Registration of a Limited Liability Company

The State Register of Legal Entities, maintained by the Ministry of Justice of the Republic of Armenia, is responsible for registering limited liability companies. A limited liability company is a type of commercial organization that has legal entity status. One or more individuals can establish it, and its authorized capital is divided into shares as outlined in the company's charter.

State Registration of a Change to the Records of a Limited Liability Company

The service provides online registration of changes to company data by the head of the executive body of a limited liability company. Registration is performed using templates provided by the system or versions submitted by the company.

Registration of a Closed Joint-Stock Company

The registration of a closed joint-stock company is carried out by the Agency of the State Register of Legal Entities under the Staff of the Ministry of Justice of the Republic of Armenia. A company is considered closed if its shares are distributed only among its shareholders or other predetermined persons. The company may be established either through the founding of a new company or through the reorganization of an existing legal entity.

Registration of an Open Joint-Stock Company

Registration of an open joint-stock company is carried out by the Agency of the State Register of Legal Entities of the Staff of the Ministry of Justice of the RA. A company is considered open if its shareholders have the right to alienate their shares without the consent of the other shareholders. A company may be created through the foundation of a new company or through the reorganization of an existing legal entity.

Registration of separate subdivisions (commercial)

The service enables the online registration of separate subdivisions (commercial) by physical persons who are citizens of the Republic of Armenia. Registration is carried out either using templates provided by the system or through versions submitted by the citizens.

Application for company name registration

The service enables physical persons who are citizens of the Republic of Armenia to reserve their chosen name. The reservation is made for a period specified by the State Register of Legal Entities.
