Amendment of information of a limited liability company

About the service

The service enables the online registration of amendments to corporate data of a Limited Liability Company (LLC) by its executive body’s head or by a shareholder. The registration is carried out either through templates provided by the system or via versions submitted by the company itself.

The service is provided online exclusively to companies whose participants (shareholders) and heads of the executive body are physical persons who hold citizenship of the Republic of Armenia.


Service frequently asked questions

What information changes are subject to state registration?

All changes included in the company's charter or registered in the state unified registry must be updated. These include:

  • Name change (e.g., change of company name)

  • Change of location (legal address)

  • Change of executive body (director) or change of passport data

  • Change in the composition of participants (founders) (sale/purchase of share, donation, inheritance, or entry of a new participant)

  • Change of charter capital (increase or decrease)

  • Amendment of the charter (approval of the charter in a new edition)

What documents are usually required?
  • Minutes of the General Meeting of Participants (or Decision of the Sole Participant) on making changes.

  • Amendments to the charter or the charter in a new edition (usually in 2 copies).

  • State duty payment receipt (charged according to the RA Law "On State Duty"; for certain changes, such as a change of director, no duty is defined, whereas for a name or charter change, it can range from 5,000 to 10,000 AMD).

  • Power of attorney, if the process is carried out by an authorized person rather than the company's executive body (director).

  • In case of sale and purchase: Share alienation agreement (in some cases, notary certification is required if the application is not signed directly in the presence of the Registry officer or through the electronic system).
